An entry route should follow your business model.

There is no single structure suitable for every investor. Ownership, activity, tax, liability, capital needs and exit plans must be assessed together.

India Entry · decision guide

The questions to clarify before launch.

Use these workstreams to prepare a focused discussion with your management team and advisers. Open each topic to see the decisions and practical support involved.

01 · Market fit and commercial strategy

Who will buy, through which channel, and at what sustainable margin?

Validate customer segments, competitive pricing, local product requirements, sales cycles, payment practices, distributor economics and after-sales expectations. Compare direct sales, distributors, licensing, a local partner and an owned operating business. Build a realistic landed-cost and contribution model, including duties, logistics, warranty and collection risk.

How OMNIXIS can help: Market assessment, route-to-market options, pricing model and a pilot decision with measurable milestones.

02 · Foreign ownership, FDI and beneficial ownership

Can your proposed activity and ownership structure proceed as planned?

Classify the actual activities before choosing an entity. Check sectoral caps, automatic versus government approval routes, prohibited activities, FDI-linked conditions and indirect/downstream investment. Review investor nationality and ultimate beneficial ownership, including land-border-country approval rules and later transfers. An automatic route does not remove other approvals.

How OMNIXIS can help: Activity-and-ownership screening memo, approval dependency map and transaction risk register, coordinated with qualified advisers.

03 · Company formation and governance

Who owns, controls and represents the Indian operation?

Plan parent-company documents, apostille or consular legalisation where applicable, proposed objects, registered office, directors, authorised signatories, beneficial-owner disclosures and banking KYC. Review resident-director requirements and genuine governance responsibilities. For a joint venture, negotiate reserved matters, IP use, funding obligations, deadlock, information rights and exit before incorporation.

How OMNIXIS can help: Entity setup checklist, document tracker, governance framework and coordination with practising company secretaries and legal counsel.

04 · Tax, treaties and transfer pricing

What is the end-to-end tax cost of your operating model?

Model corporate tax, withholding on cross-border payments, treaty eligibility, permanent-establishment and business-connection exposure, GST registration and place-of-supply questions, customs and state-level charges. Review intercompany services, royalties, cost allocations and transfer pricing documentation. Consider home-country reporting and foreign-tax credits. Assess current law and treaty facts rather than assuming one universal rate.

How OMNIXIS can help: Tax workstream brief, intercompany transaction map and financial scenarios reviewed with qualified tax advisers.

05 · Funding, banking and repatriation

How will money enter, support operations and return to shareholders?

Compare equity, permitted instruments, local borrowing and cross-border debt; assess eligibility, pricing, end-use and reporting conditions before remittance. Prepare KYC, source-of-funds, valuation and authorised-dealer bank documentation. Map transaction reporting, including FC-GPR/FC-TRS where applicable, and annual FLA requirements. Design dividend, royalty, service-fee and exit-proceeds routes with tax, documentation and FEMA review.

How OMNIXIS can help: Capitalisation plan, banking readiness pack, cash forecast, reporting ownership and repatriation checklist.

06 · Location, premises and incentives

Which location produces the best total operating economics?

Compare customer proximity, talent, wages, logistics, ports, power, water, connectivity and industrial infrastructure. Review lease/title diligence, permitted use, local approvals, environmental constraints and business continuity. Screen state incentives, SEZ and sector programmes for current availability, eligibility, application windows, conditions and clawbacks; do not include unapproved incentives as certain cash flows.

How OMNIXIS can help: Location scorecard, site diligence coordination, total-cost model and incentive sensitivity analysis.

07 · Licences, imports and product approvals

What must be approved before selling, importing or operating?

Build a central, state and local approval matrix. Depending on activity, examine import/export registration, customs classification and valuation, BIS/product standards, labelling and Legal Metrology, food or pharmaceutical permissions, environmental consents, factory and fire permissions and regulated-sector approvals. Use the National Single Window System as an identification aid and confirm coverage with the relevant authority.

How OMNIXIS can help: Approval register with owners, prerequisites, evidence and launch gates; landed-cost and supply-chain plan.

08 · People, payroll and mobility

How will your team work legally and effectively?

Assess employment contracts, payroll withholding, social-security coverage, benefits, workplace registrations, working conditions, contractor classification, termination and local employment requirements. Check the applicable central/state position and labour-code implementation rather than assuming one rule across India. For expatriates, assess visa permissions, immigration registration, tax residence, payroll and social-security/treaty considerations.

How OMNIXIS can help: Hiring-cost model, payroll setup brief, employment compliance calendar and expatriate coordination checklist.

09 · Contracts, IP, data and digital operations

What protects your commercial relationships and information?

Review distributor, customer, supplier, lease and intercompany agreements; include payment terms, warranties, liability, IP ownership, confidentiality, dispute resolution and termination. Plan trademark and other IP protection. Assess privacy obligations and commencement dates, cybersecurity, cross-border data handling and sector-specific localisation requirements. Review e-commerce and consumer obligations where relevant.

How OMNIXIS can help: Contract risk matrix, IP action list and data/process readiness plan coordinated with specialist counsel.

10 · Finance operations and internal controls

Can headquarters trust the numbers from day one?

Define local accounting policies, applicable reporting standards, statutory audit and filing responsibilities, group consolidation, chart of accounts, ERP, GST invoicing, tax deductions, audit trails and records retention. Put segregation of duties, payment approvals, vendor validation, inventory controls, anti-bribery procedures and related-party governance in place. Establish a regular reporting and compliance review with headquarters.

How OMNIXIS can help: India finance operating model, monthly close calendar, reporting pack, control matrix and CFO oversight cadence.

11 · Acquisition, joint venture and integration

Would buying or partnering outperform a greenfield launch?

Test strategic fit and valuation; investigate financial, tax, legal, labour, environmental and commercial exposures. Assess foreign-investment permissions, competition/combination review, change-of-control consents, historic compliance and beneficial ownership. Negotiate completion conditions, protections, funding and a practical integration plan.

How OMNIXIS can help: Diligence scope, transaction model, issue tracker and integration finance roadmap alongside legal and sector advisers.

12 · Exit, continuity and downside planning

What happens if plans change?

Plan working-capital stress, FX movements, delayed approvals, partner disputes and business interruption. Compare future share sale, asset sale, restructuring, closure and liquidation routes with pricing, tax, employee, creditor, FEMA and regulatory considerations. Preserve records and a clean compliance history so the business can be financed, sold or wound down more effectively.

How OMNIXIS can help: Downside scenarios, contingency funding plan and an exit-readiness checklist.
